Concierge Program Partner Terms

These terms govern your participation as a Concierge Program partner ("Partner," "you") with The Bag Hotel, LLC ("TBH," "we," "us"). By submitting a Concierge Program application, or by accepting and using a Partner referral code, you agree to these terms.
1. Definitions
"Guardian" means an independent business approved to operate as a TBH Guardian location.
"Referral code" means the unique code assigned to you at approval into the Concierge Program, used to attribute a Guardian application to you.
"Referred Guardian" means a Guardian whose application included your Referral code at the time of submission.
"Qualifying Transaction" means a completed, non-refunded, non-canceled customer transaction processed by a Referred Guardian.
"Commission Period" means the 12-month period described in Section 3.
2. Eligibility and enrollment
2.1. To become a Partner, you must submit a Concierge Program application and be approved by TBH. We may approve or decline any application at our discretion, without obligation to provide a reason.
2.2. You may not be the same individual or entity as any Guardian you refer. We verify this using the contact details (name, email, phone) provided on both your Partner application and the Guardian's application. An application that fails this check will not be attributed to you, and any code used will be treated as invalid for that signup.
2.3. Your participation does not create any exclusivity obligation on either side. You may participate in other affiliate, referral, or partner programs, and TBH may run other such programs concurrently.
3. Commission structure
3.1. Rate. You earn a commission equal to 10% of TBH's own share of revenue generated by each Referred Guardian (TBH's share being the portion TBH retains under its standard revenue-sharing arrangement with that Guardian), calculated on Qualifying Transactions only. This commission is not calculated against the Referred Guardian's total revenue, and it does not reduce or otherwise affect the Referred Guardian's own agreed share.
3.2. Source of commission. Your commission is paid from TBH's own share of Guardian revenue. It does not reduce or otherwise affect the Referred Guardian's own agreed commission rate with TBH.
3.3. Commission start. The Commission Period for a given Referred Guardian begins on the date of that Guardian's first Qualifying Transaction.
3.4. Commission Period. Each Commission Period runs for 12 months from its start date. Commission is calculated and accrued only on Qualifying Transactions that occur within an active Commission Period.
3.5. Renewal. A Commission Period renews automatically for a further 12 months if, within the 12 months prior to its expiry, at least one new Guardian referred by you (using your Referral code) has completed at least one Qualifying Transaction. If this condition is not met, the Commission Period ends on its expiry date and no further commission accrues on that Referred Guardian's revenue, regardless of how long the Referred Guardian remains active on the TBH platform.
3.6. Guardian inactivity. If a Referred Guardian becomes inactive, suspended, or closes their TBH account, commission on that Guardian's revenue stops immediately, regardless of the remaining time in any active Commission Period.
3.7. Refunds and cancellations. Transactions that are refunded or canceled are not Qualifying Transactions. They do not count toward commission calculation, and they do not count toward the renewal condition in Section 3.5.
3.8. Attribution. The Referral code present on a Guardian's application at the time of submission is the sole and binding attribution for that Guardian. This attribution is final. TBH does not adjudicate competing claims of influence or outreach that occurred outside the application itself.
4. Payment
4.1. Commission is calculated monthly and paid out on a schedule communicated to you at enrollment.
4.2. You are responsible for any taxes owed on commissions you receive. TBH may request tax information or forms from you where required by law.
4.3. You are an independent contractor. Nothing in these terms creates an employment, agency, partnership, or joint venture relationship between you and TBH.
5. Brand and marketing guidelines
5.1. We grant you a limited, non-exclusive, revocable license to use TBH's name, logo, and approved marketing materials solely for the purpose of promoting the Concierge Program in accordance with these terms.
5.2. All goodwill arising from your use of TBH's marks accrues solely to TBH.
5.3. You must not misrepresent your relationship with TBH, make false or misleading claims about TBH's services, or use TBH's marks in a domain name, account handle, or paid advertising headline.
5.4. Upon termination of your participation for any reason, you must cease all use of TBH's marks and remove them from any materials you control within a reasonable period.
6. Notifications
6.1. We will send you an automated notice in advance of a Commission Period's expiry if the renewal condition in Section 3.5 has not yet been met, so you have an opportunity to qualify for renewal.
6.2. Notices are sent to the email address on file for your Partner account. You are responsible for keeping this current.
7. Term, termination, and program changes
7.1. Your right to leave. You may withdraw from the Concierge Program at any time by notifying us in writing. Commission already accrued on Qualifying Transactions prior to your withdrawal will still be paid; no further commission accrues after the effective date of withdrawal.
7.2. Termination for cause. We may suspend or terminate your participation immediately, without notice, if we determine you have engaged in fraud, abuse of the referral system, misrepresentation of your relationship with TBH, or conduct that harms TBH's brand or reputation. Commission already earned and unpaid at the time of such termination may be withheld pending investigation.
7.3. Program changes. We may modify these terms or the structure of the Concierge Program with 30 days' notice to active Partners. If you do not agree with a change, you may withdraw under Section 7.1 before the change takes effect.
7.4. Program discontinuation. If we discontinue the Concierge Program entirely, any Commission Period active at the time of the discontinuation notice will be honored to its natural completion. No new Commission Periods or renewals will begin after the discontinuation date.
8. Disclaimers
8.1. The Concierge Program and any associated tracking or reporting are provided on an "as is" basis. We do not guarantee any particular level of earnings.
8.2. TBH is not liable for indirect, consequential, or special damages arising from your participation in the Concierge Program.
9. Disputes
Any dispute arising from these terms is governed by TBH's Dispute Resolution & Claims Policy.
10. Changes to these terms
We may update these terms from time to time. Continued participation in the Concierge Program after an update takes effect constitutes acceptance of the revised terms, subject to the notice requirements in Section 7.3.
