TBH INSIDER TERMS

These TBH Insider Terms ("Insider Terms") govern your participation in the TBH Insider programme operated by The Bag Hotel, LLC ("TBH," "we," "us," "our"). By submitting a nomination or accepting a commission payment as a TBH Insider, you agree to these Insider Terms in full.

These Insider Terms are supplemental to TBH's main Terms of Service
(https://thebaghotel.com/policies/terms-of-service), which continue to apply to your use of the Services. In the event of any conflict between these Insider Terms and the main Terms of Service, these Insider Terms govern with respect to your Insider activities.


SECTION 1 — WHAT IS A TBH INSIDER?

A TBH Insider is any individual or company who nominates local businesses to join the TBH Guardian network and, where a nominated business is successfully verified and onboarded as a Guardian, earns a commission on transactions completed at that Guardian's location.

TBH Insiders are not employees, agents, or representatives of The Bag Hotel, LLC. Your relationship with TBH is that of an independent referrer. You have no authority to bind TBH to any commitment, represent TBH's services, or act on TBH's behalf in any capacity.


SECTION 2 — ELIGIBILITY

To become and remain a TBH Insider, you must:

(a) Be at least 18 years of age (or the age of majority in your jurisdiction, if higher);
(b) Have a valid TBH customer account in good standing;
(c) Have a valid payment method on file capable of receiving commission payments;
(d) Complete annual confirmation as described in Section 7;
(e) Comply with these Insider Terms and TBH's main Terms of Service at all times.

TBH may refuse or revoke Insider status at its sole discretion, including where eligibility conditions are not met or are no longer met.


SECTION 3 — HOW TO NOMINATE A BUSINESS

To nominate a business, you must submit a nomination through the official nomination form at thebaghotel.com/pages/insiders. Nominations submitted by any other means (email, social media, word of mouth) are not eligible for commission and will not be tracked.

When submitting a nomination, you represent and warrant that:

(a) You have a genuine, first-hand knowledge of the business you are nominating and believe it is a suitable fit for the Guardian network;
(b) The business is a real, staffed, physical location open to the public during regular business hours;
(c) The business is family-friendly — meaning it is suitable for customers of all ages and does not operate primarily as an adult venue, licensed gambling premises, or business whose primary trade would conflict with TBH's brand and values;
(d) You are not the owner, director, partner, or employee of the business you are nominating, and you have no financial interest in that business;
(e) You are not nominating yourself or a business you operate under a different name;
(f) All information you provide about the nominee is accurate and complete to the best of your knowledge.

TBH does not guarantee that any nominated business will be contacted, verified, or onboarded. A nomination creates no obligation on TBH's part to pursue the business or to report back to the Insider on the outcome.


SECTION 4 — COMMISSION STRUCTURE

4.1 Commission rate
Where a business you nominated is successfully verified and onboarded as a Guardian, you will earn a commission equal to 10% of TBH's platform fee on each eligible transaction completed at that Guardian's location during the active commission window described in Section 4.2.

TBH's platform fee is currently 30% of the transaction value. Your commission is therefore 10% of 30% = 3% of each transaction's total value. This rate is subject to change on reasonable notice; see Section 10 for how changes are communicated.

4.2 Commission window
Your commission window for a given Guardian opens on that Guardian's go-live date (the date their first transaction is completed through the TBH platform) and runs for 12 months from that date.

4.3 Renewal
At the end of each 12-month window, your commission on that Guardian's transactions will automatically cease unless you have nominated at least one additional new business that has itself become an active Guardian before the window closes. Where this condition is met, the commission window for the original Guardian renews for a further 12 months from the renewal date.

Renewal is assessed per Guardian, per window. Nominating a business that does not ultimately onboard does not satisfy the renewal condition.

4.4 No commission on own transactions
You are not entitled to commission on any transaction where you are also the customer making the storage booking.

4.5 No guaranteed earnings
Commission is earned only on completed, paid transactions. TBH makes no guarantee of minimum earnings, transaction volumes, or Guardian activity levels. We do not guarantee that any Guardian you have referred will remain active on the platform.


SECTION 5 — PAYMENT

5.1 Payment method
Commissions are paid via the payment method you have registered with TBH for Insider payouts. You are responsible for keeping your payment details current and accurate. TBH will not be liable for delayed or failed payments resulting from incorrect or outdated payment information.

5.2 Payment timing
Commissions are processed and paid monthly, subject to the minimum payout threshold in Section 5.3. TBH reserves the right to hold a commission payment where there is a pending dispute, suspected fraud, or a chargeback on the underlying transaction.

5.3 Minimum payout threshold
A minimum payout balance of $10.00 USD must be reached before a payment is issued. Balances below this threshold are carried forward to the following payment period.

5.4 Taxes
You are solely responsible for declaring and paying any taxes, levies, or charges applicable to your commission income in your jurisdiction. TBH does not withhold tax on commission payments unless required to do so by applicable law. Where withholding is required, the amount paid to you will be net of the withheld amount. TBH will provide any tax documentation required by law upon request.

5.5 Currency
Commissions are calculated in USD and paid in USD, or converted to your local currency at the prevailing rate at time of payment where USD payment is not practicable. TBH is not responsible for exchange rate fluctuations.


SECTION 6 — QUARTERLY EARNINGS SUMMARY

TBH will send you an automated quarterly earnings summary by email, covering commissions earned during the preceding quarter. The summary will show commissions by Guardian location and by transaction period. The quarterly summary is informational only; the payment schedule described in Section 5.2 governs when amounts are actually paid out.


SECTION 7 — ANNUAL CONFIRMATION

To remain an active TBH Insider, you must complete an annual confirmation once per calendar year. The confirmation covers:

(a) Your current contact details;
(b) Your current payout information;
(c) Confirmation that you wish to continue as a TBH Insider;
(d) [For Insiders who are companies] Confirmation of current business trading status and the name of the authorised signatory for your account.

TBH will contact you by email to prompt annual confirmation. If confirmation is not completed within 30 days of the prompt, your Insider account will be suspended until confirmation is received. If confirmation is not received within 90 days of the prompt, your Insider account will be closed and any accrued but unpaid commissions above the minimum payout threshold will be paid out; amounts below the threshold will be forfeited.


SECTION 8 — CONDUCT AND PROHIBITED ACTIVITIES

As a TBH Insider, you agree not to:

(a) Make any representation about TBH, its services, or the Guardian network that is false, misleading, or not authorised in writing by TBH;
(b) Offer any incentive, payment, or reward to any business in exchange for agreeing to be nominated or to apply to become a Guardian;
(c) Use automated tools, scripts, or any other means to submit bulk or fraudulent nominations;
(d) Submit nominations for fictitious, inactive, or already-onboarded businesses;
(e) Use TBH's name, logo, or trademarks in any communication or material without TBH's prior written consent;
(f) Engage in any activity that brings TBH into disrepute or that may harm TBH's relationship with a nominated or existing Guardian.

Breach of any of the above may result in immediate suspension or termination of your Insider account and forfeiture of any unpaid commissions.


SECTION 9 — DATA AND PRIVACY

When you nominate a business, you submit information about that business (including its name, address, and any contact details you provide) to TBH. You represent that you have a lawful basis for sharing this information and that doing so is consistent with any applicable data protection laws in your jurisdiction and the nominee's jurisdiction.

TBH will use nominee data only for the purpose of assessing and pursuing the nomination. If a nomination does not convert to an active Guardian within 24 months of submission, TBH will delete the nominee's data from its active records, unless retention is required by law or the nominee has since made contact with TBH independently.

SECTION 10 — CHANGES TO THESE TERMS

TBH may update these Insider Terms at any time. Where a change materially affects your commission rate or payment terms, TBH will give at least 30 days' notice by email before the change takes effect. For all other changes, the updated Terms will be posted at thebaghotel.com/pages/insider-terms and will take effect on the date shown. Your continued participation as a TBH Insider after the effective date constitutes acceptance of the updated Terms.

If you do not agree to an updated version of these Terms, you may close your Insider account at any time by contacting support@thebaghotel.com. Any commissions accrued before your account closure date will be paid out in accordance with Section 5.


SECTION 11 — TERMINATION

11.1 By you 

You may close your Insider account at any time by contacting support@thebaghotel.com. Accrued commissions above the minimum payout threshold at the time of closure will be paid out in the next regular payment cycle. Amounts below the threshold will be forfeited.

11.2 By TBH
TBH may suspend or permanently close your Insider account at any time, without notice, where:

(a) You have breached these Insider Terms or the main Terms of Service;
(b) TBH has reasonable grounds to suspect fraudulent or abusive activity;
(c) Your Insider account has been inactive (no active commission windows, no nominations submitted) for 24 consecutive months;
(d) TBH discontinues the Insider programme entirely.

Where TBH closes your account for reasons other than breach or fraud, accrued
commissions above the minimum payout threshold will be paid out. Where closure
is due to breach or fraud, TBH reserves the right to withhold accrued
commissions pending investigation, and to forfeit them if the breach or fraud
is confirmed.

11.3 Programme discontinuation
TBH reserves the right to discontinue the TBH Insider programme at any time on 90 days' written notice. During the notice period, commission windows already running will continue to earn until their natural expiry or the end of the notice period, whichever comes first.


SECTION 12 — LIMITATION OF LIABILITY

To the fullest extent permitted by applicable law, TBH's total liability to you
in connection with the Insider programme — whether in contract, tort, or
otherwise — shall not exceed the total commissions paid to you in the 12 months
preceding the event giving rise to the claim.

TBH is not liable for any indirect, consequential, or speculative loss,
including lost anticipated earnings, loss of opportunity, or reputational harm.


SECTION 13 — GOVERNING LAW AND DISPUTES

These Insider Terms are governed by the laws of the State of Wyoming, without
regard to its conflict of laws principles.

Any dispute arising from or relating to these Insider Terms that cannot be resolved informally within 30 days of written notice shall be referred to binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, with proceedings conducted in Wyoming. This clause does not prevent either party from seeking urgent injunctive relief from a court of competent jurisdiction.
